The total anticipated acquisition price reflects a 3.0x EBITDA multiple over the next twelve months based on our opinion that current global demand for mining components has returned to, and will remain stable at, or perhaps surpass, pre-COVID 19 levels the next twelve months..The transaction is scheduled to close on July 1, 2021, and will be financed using existing debt facilities.

After its first acquisition in 2021 in the Dutch market, the SOCOTEC Group, a trusted third party and a leading company in building and infrastructure risk management, announces the acquisition of Inpijn Blokpoel, a major player in the Dutch ground investigation and geotechnical market.
With the acquisition of Inpijn Blokpoel Engineers, SOCOTEC is strengthening its position as a key player in the Dutch construction and infrastructure TIC market and is expanding its service portfolio to better serve its customers. The ambition of the group is to become the leading company in testing, inspection and certification services in the construction and infrastructure sectors, alongside the lifecycle of any built environment.
Founded in 1975 and headquartered in Son, close to Eindhoven, Inpijn Blokpoel Engineers, employs more than 100 people and has a turnover of over 12 million euros. With three main locations around the country (Son, Waddinxveen and Groningen), it is a key player in geotechnics, geophysics and environmental services, some of the core services of the SOCOTEC Group whose global ambition is to meet the growing challenges of environmental, energy, regulatory and digital transitions in the construction and infrastructure sectors.
Inpijn Blokpoel Engineers is a specialist in the field of geotechnical and environmental consultancy services using the most modern ground investigation equipment and a cutting-edge laboratory. Consultancy services are provided in the areas of building foundations, construction pits, drainage, wind turbines, logistics centers, structural damage analysis, geophysics, dykes etc. During construction phase, full geotechnical supervision and monitoring can be supplied. Inpijn Blokpoel's clients are contractors, property developers, structural engineers, large engineering companies but also private individuals and of course most Dutch water boards, given its specific know-how in the field of dykes.
Inpijn Blokpoel Engineers' core expertise in geotechnics is highly complementary to Hanselman Group acquired by the SOCOTEC Group last August 2021, as the company offers technical expertise for claim management, construction site nuisances management and monitoring services as well as technical inspection in the real estate market.
"We are thrilled to have Inpijn Blokpoel as part of our group. Inpijn Blokpoel's brand reputation in the Netherlands and entrepreneurial culture fit extremely well with our organisation and internationalisation strategy. Also, Inpijn Blokpoel broadens our service offering following the acquisition of Hanselman Group. Even if they will remain independent, both companies will be much stronger together and will support the development of the SOCOTEC brand in Europe. With a €25.0m of combined turnover in the Netherlands, SOCOTEC is now a key player in the country and the only one able to offer such a range of services to the Dutch construction and infrastructure markets. Finally, Inpijn Blokpoel complements our existing network of pan-European experts in geotechnics and monitoring across France, the UK, Germany and Italy, from which I expect great technical synergies as well as commercial benefits."

Trimble & Microsoft | October 27, 2021
Trimble (NASDAQ: TRMB) and Microsoft announced a strategic partnership to advance technology adoption and accelerate the digital transformation of the construction, agriculture and transportation industries. By leveraging the Microsoft cloud, Trimble and Microsoft will collaborate to develop, build and deliver industry cloud platforms and solutions that connect people, technology, tasks, data, processes and industry lifecycles. This collaboration represents a significant milestone to advance Trimble's Connect and Scale 2025 strategy, which centers on building industry-leading cloud platforms.Initially, Trimble and Microsoft will focus on building the Trimble Construction Cloud powered by Microsoft Azure.
The construction process is fragmented, which can result in lost productivity, rework and a lack of transparency. According to a McKinsey & Company article, The next normal in construction: How disruption is reshaping the world's largest ecosystem,* the construction industry is lagging with only 1 percent productivity growth over the last 20 years. This is significantly lower than the 2.8 percent experienced for the total economy. In addition, one of the significant emerging disruptions that will drive change in construction is the digitization of products and processes. The ability to link technologies, tasks, processes and multiple stakeholders—such as general contractors, subcontractors, designers, engineers and owners—across the construction project workflow can transform and significantly improve productivity, quality, safety, transparency and sustainability.
This partnership expands Trimble and Microsoft's existing relationship to combine the Microsoft cloud with Trimble's construction solutions and industry domain knowledge. Trimble's construction solutions include on-machine and field technology, modeling and collaboration software, project and resource management, and all underlying analytics. The companies will deliver the Trimble Construction Cloud, an innovative connected platform powered by Microsoft Azure, which is fully enabled for 3D constructible models that will reduce risks, drive speed, and increase efficiency and accuracy across the entire construction project lifecycle, in 2022.
In addition to cloud engineering development, Microsoft and Trimble will partner on joint go-to-market strategies and deliver innovative solutions to multinational and regional enterprises. The first solutions will enable continued support of infrastructure investment cycles, and be used for large-scale projects, on which multiple stakeholders work in parallel to deliver connected construction projects.
"Trimble and Microsoft will create a powerful partnership to advance technology adoption in the construction industry. Using Microsoft technologies, Trimble will be able to more rapidly develop a construction cloud to connect stakeholders and workflows throughout the industry, We are building on our combined success to help construction companies use digital data to improve productivity, reduce costs, increase collaboration and create agility. By leveraging the Microsoft cloud, Trimble technology and our combined engineering capabilities, we will empower construction businesses to realize the benefits of the cloud and accelerate digital transformation throughout the construction lifecycle."
-Bryn Fosburgh, senior vice president, Trimble
Industry customers are accelerating deployment of cloud-based services and solutions to facilitate better decision making based on data-driven insights, gain efficiencies, reduce costs and engage customers in new ways," said Casey McGee, vice president Global ISV partners, Microsoft. "We are excited about our enhanced collaboration with Trimble as it will help customers, across industries, evolve their cloud strategies and realize business transformation.
Trimble is an industrial technology company transforming the way the world works by delivering solutions that enable our customers to thrive. Core technologies in positioning, modeling, connectivity and data analytics connect the digital and physical worlds to improve productivity, quality, safety, transparency and sustainability.
